This is with regards to our discussion, from which you requested us to advice for YOUR COMPANY (hereinafter referred to as “Client”) to transfer 100% equity to another Investor and to change head office address from Thanh Xuan District to Dong Da District.

1. SCOPE OF WORKS
With regards to transfer of 100% equity of Client, our scope of work shall be as follows: Preparation of the application documents:
Notifying application documents required in accordance with Vietnamese law;
Drafting application documents required for submission purpose;
Liaising with Client to discuss the draft application documents;
Amending the application documents based on your comments;
Obtaining preliminary comments from the licensing authority on the draft application documents;
Finalizing the application documents following comments from the licensing authority; and Licensing procedures (transfer equity to new Investor)
Submitting the application dossier to the licensing authority on your behalf;
Monitoring and following up with the relevant authorities on the approval process;
Keeping you updated on the developments and additional requirements, if any; and
Assisting you in obtaining the amended Certificate of business registration. Post-licensing procedures:
Registration for new seal sample;
Announcing the amendment of certificate of business registration to the national portal on business registration.
2. DURATION
Within 02 working days, we shall collect necessary information and documents from youas requirement of SB Law; we will deliver the dossier on amending business registration for you to sign and seal.
Within 02 working days from the date of receipt of the signed and sealed dossier from the Client, SB Law will apply to change of business registration for your Company.
Within 05 working days from the date of submission the dossier to the competent authority, SB Law will receive the amended Certificate of business registration from competent authority
Within 03 working days later, Law SB will inform the amended contents of business registration to national portal of business registration.
